1. Terms
By entering into this agreement and/or by using our platform, you hereby acknowledge that you understand this agreement and accept all that is stated under the terms and conditions of RIMbeau Consulting. If you do not agree with these terms and conditions, we strongly encourage you to refrain from using our platform and any other services provided on it.
2. Confidentiality
Using our platform may give you access to confidential and valuable information. We consider all the information on our platform to be proprietary and highly confidential. You agree that: (a) All of the information in our platform are owned by RIMbeau Consulting (b) You are strictly prohibited to copy, summarize or use such information except to the extent necessary to engage our services (c) You will not disclose any information to third party without our prior consent (d) Upon termination of our services for any reason you will immediately return, delete, or destroy all such information.
3. Your Information
You certify that all information stated on your resume is true, accurate, current, and complete. Any information you provided that is untrue, inaccurate, not current, or incomplete will give us the right to suspend or terminate this agreement and prohibit you from being engaged with our platform. You hereby authorize RIMbeau Consulting to use your information in any way we reasonably see fit such as providing your resume to our affiliated partners, websites, and employers that we believe may have interest in your resume. We may retain copies of your information to comply with federal and state laws and audits.
4. Job Ads or Listing
RIMbeau Consulting has overall control to any content of this platform related to job ads and job listings or any other terms and conditions that might be imposed once a platform user has made an application or chooses to end the use of platform.
5. Career, Hiring, and Other Information
RIMbeau Consulting may give some advice, information, or suggestions about best practices to platform users. But it is the sole responsibility of the users to pursue their job search. We do not guarantee the quality and effectiveness of any advice, guidance, or suggestions you may receive from third parties.
6. Governing Law
These terms and conditions and your use of the platform are governed by and construed in accordance with the laws of the State of Georgia (USA) applicable to agreements made and to be entirely performed within the State of Georgia (USA), without regard to its conflict of law principles.
7. Dispute Resolution
Any legal action for whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Marietta, GA and the Parties hereby consent to, and waive any right to a jury trial and all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
8. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees from and against any loss, damage, liability, claim, or demand including reasonable attorneys’ fees and expenses made by any third party due to or arising out of: (a) your Contributions (b) Use of the platform (c) Breach of these terms and conditions (d) Any breach of your representations and warranties set forth in these terms and conditions; (e) Your violation of the rights of a third party including but not limited to intellectual property rights or (f) Any apparent harmful act toward any other user of the platform with whom you connected via the platform.
We reserve the right at your expense to assume the exclusive defense and control of any matter for which requires you to indemnify us, and you agree to cooperate at your expense with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
9. User Registration and E-signature
Visiting the platform, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the platform, satisfy any legal requirement that such communication be in writing. You hereby agree to use electronic signatures, contracts, orders, and other records and to electronically deliver notices, policies and record of transactions initiated or completed by us or by the platform.
You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which requires an original signature or delivery or retention of non-electronic records, or to payments, or the granting of credits by any means other than electronic means.
